1. Introduction

These Terms and Conditions (“Terms”) govern all agreements and services provided by Norden Media ApS (“we”, “our”, “us”), a company registered in Denmark, CVR 12345678. By engaging our services or using our website, you agree to these Terms.

2. Services

We provide social media marketing, content strategy, paid advertising, and related digital services to clients worldwide. Specific services, deliverables, and pricing are defined in individual proposals or contracts.

3. Agreements and Payment

• All projects require written confirmation (email or signed proposal) before commencement.
• Unless otherwise stated, invoices are due within 14 days of issue. Late payments may incur interest in accordance with the Danish Interest Act (Renteloven).
• All prices are exclusive of VAT unless otherwise specified. Danish VAT (moms) applies to clients within Denmark and the EU where applicable.

4. Client Responsibilities

• Provide timely access to materials, accounts, and approvals.
• Ensure that all provided content complies with applicable copyright and advertising laws.
• Remain responsible for any data or advertising content submitted to third-party platforms.

5. Intellectual Property

All materials created by Norden Media ApS remain our property until full payment is received. Upon payment, ownership or license rights are transferred as specified in the agreement. We reserve the right to display non-confidential work in our portfolio.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during collaboration, except where disclosure is required by law.

7. Limitation of Liability

To the maximum extent permitted by Danish law, Norden Media ApS shall not be liable for indirect, incidental, or consequential damages, including loss of profit or data, arising from the use of our services. Our total liability shall never exceed the total fees paid for the relevant service period.

8. Data Protection

We process personal data in accordance with our Privacy Policy. Clients are responsible for ensuring their own compliance with GDPR and any applicable local data protection laws.

9. Termination

Either party may terminate an agreement with 30 days’ written notice unless otherwise stated in a specific contract. Work performed and costs incurred prior to termination will be invoiced accordingly.

10. Governing Law and Jurisdiction

These Terms are governed by Danish law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Denmark, with the City Court of Copenhagen (Københavns Byret) as the agreed venue.

11. International Clients

We work with clients globally. Unless otherwise agreed in writing, all contracts are governed by Danish law, and payments shall be made in Danish kroner (DKK) or euros (EUR).

12. Changes to Terms

We may update these Terms periodically. The latest version will always be available on our website and will apply from the date of publication.
